1. Introduction
These Terms & Conditions govern the sale of powersports products by BV Powersports LLC (“we,” “us,” or “our”) to wholesale customers. By placing an order with us, you agree to comply with these terms.

2. Eligibility and Account Registration

  • Wholesale buyers must provide valid business credentials, including a resale certificate or tax identification number.

  • You are responsible for maintaining the confidentiality of your account information and ensuring all information provided is accurate.
     

3. Pricing and Payment Terms

  • All prices are in USD and subject to change without notice.

  • Payment terms will be communicated during order placement, with options including prepayment (check/ACH/wire), dealer financing if qualified, or credit card.

  • We reserve the right to place shipping holds on accounts with outstanding balances.
     

4. Minimum Order Requirements

  • A minimum order quantity (MOQ) may apply for certain products. These details will be shared during the ordering process.
     

5. Order Acceptance and Cancellation

  • All orders are subject to acceptance and availability.

  • We reserve the right to cancel orders due to pricing errors, stock shortages, or customer credit issues.

  • Orders cannot be cancelled after shipment. For modifications before shipping, contact us immediately.
     

6. Shipping and Delivery

  • Shipping terms are FOB Origin (Freight on Board). The buyer assumes risk once the order leaves our facility.

  • Delivery timelines are estimates and not guaranteed. We are not responsible for delays caused by carriers, weather, or customs.

7.  Warranty Policy

  • Please refer our current limited parts warranty policy and limited labor warranty policy (labor warranty is applicable for certain products).

  • BV Powersports’ warranty policies are issued for authorized dealers use only. Retail customers please follow individual dealer’s warranty/return policy.
     

8. Liability and Indemnification

  • BV Powersports LLC is not liable for any indirect, incidental, or consequential damages resulting from product use, delays, or missed deliveries.

  • The buyer agrees to indemnify and hold harmless BV Powersports LLC from any claims or damages arising from improper product use or resale.
     

9. Intellectual Property

  • All trademarks, logos, and product designs remain the property of BV Powersports LLC or our suppliers.

  • Wholesale buyers may not use our brand name, logos, or marketing materials without prior written consent.
     

10. Compliance with Laws

  •  Buyers are responsible for complying with all applicable local, state, and federal laws when reselling or using our products.

  • BV Powersports LLC complies with all control laws in the United States. Buyers are responsible for ensuring the legality of exporting & importing our products to their country.
     

11. Force Majeure

  • We are not liable for delays or failures in performance caused by events beyond our control, including but not limited to natural disasters, strikes, supply chain disruptions, or government actions.
     

12. Governing Law and Dispute Resolution

  • These Terms & Conditions are governed by the laws of the State of Texas, without regard to conflict of laws principles.

  • Any disputes shall be resolved through binding arbitration under the rules of the American Arbitration Association (AAA), with arbitration to be conducted in Texas.
     

13. Changes to Terms & Conditions

  • BV Powersports LLC reserves the right to update these Terms & Conditions at any time. Your continued use of our services constitutes acceptance of any updates.
